Barnea’s Capital Markets Department provides legal counsel and assistance to publicly-traded companies, as well as to companies seeking to offer various financial instruments including shares, rights, options, bonds, tradable securities and digital currencies, on stock exchanges in Israel and abroad.

Our firm has handled a large number of public offerings; managing the initial planning stages for the offering, selecting the optimal stock exchange for it, as well as providing all accompanying legal services. These services include preparation of prospectuses, drafting shelf prospectuses and shelf-offering memoranda, registration of the newly formed companies for trading, and the preparation of all other required documents required by law and regulation.

 

We work in full cooperation with the Israel Securities Authority and the Tel Aviv Stock Exchange and other relevant regulatory authorities, and collaborate with rating companies, stock issue consultants, underwriters, and other institutional entities.

 

Barnea has unique expertise and vast experience in providing ongoing legal counsel and assistance to Israeli companies being traded on the Tel Aviv Stock Exchange as well as on stock exchanges worldwide, particularly including those in the UK, the U.S., and Australia. In addition, we advise foreign investors holding securities of Israeli public companies.

 

Our firm’s services in respect of trading securities on foreign stock exchanges includes coordinating ongoing reporting to the various stock exchanges, providing representation before the various securities authorities and financial institutions, performing dual registrations, and overseeing compliance with the current reporting obligations in both Israeli and foreign markets.

 

We also provide comprehensive legal counseling to clients wishing to recruit capital by offering digital currencies via an ICO. This includes providing legal assistance throughout the offering process, while also managing the risks and challenges inherent to this field.
