The firm provides integrated expert advice across a range of disciplines, including labor issues and employee incentives, tax issues, acquisition finance, anti-trust issues and real estate and intellectual property.

 

In 2019, the firm accompanied over 60 merger and acquisition and investment transactions. Matters include representing Cryolife in a strategic transaction with the Israeli medtech startup Endospan, representing the private equity group Bridgepoint in its acquisition of control in the Israeli company Qualitest for USD 420 million, representing Azrieli Group in the sale of its holdings in Supergas for NIS 820 million, providing legal counsel to ISS during the sale of its cleaning and catering division to T&M, and representing Danel Group in its strategic acquisition of 51% of Levinger Group.

COVID-19 Does Not Justify a Breach of or Deviation from a Contract When Its Arrival in Israel Was Foreseeable

An Israeli court recently rendered an interesting ruling on the impact of COVID-19. The case in question involved the lease agreement for the operation of a hotel. The lease agreement, executed in February 2020, provided payment of rental fees for the month of March, but payment for the months of April and May had not yet been arranged.

Barnea Represents Surf in Sale of Video Division to Lytx

Lytx Inc., an American fleet management software developer, has acquired the video division of the Israel-based company Surf Communications, to serve as its Israeli R&D center. Surf, founded in 1996, develops multimedia digital signal processing technologies for telecommunication infrastructures. Firm partners Micky Barnea and Ariella Dreyfuss represented Surf in the deal valued at between $20-30 million.
